These Terms & Conditions govern your use of our services and outline the legal responsibilities of both parties involved in the sale, export, and distribution of our Sports & Fitness goods. By engaging in business with IRIS International, you agree to comply with the following terms:

- Customer: Refers to any individual, company, or entity purchasing goods from IRIS International.
- Products: Refers to the sports and fitness goods provided by IRIS International for export.
- Agreement: Refers to this document and any related contracts between IRIS International and the Customer.
2. General Conditions
- All transactions are subject to these Terms & Conditions unless otherwise agreed in writing.
- IRIS International reserves the right to update or modify these Terms & Conditions at any time.
- The Customer is responsible for ensuring that the import of purchased products complies with local regulations and legal requirements.
3. Orders & Payments
- Orders must be placed in writing via email, official purchase order, or through our online portal (if applicable).
- Prices are quoted in USD (or other agreed currency) and are exclusive of taxes, duties, or additional charges.
- Payment must be made via bank transfer, letter of credit (L/C), or any other agreed method before dispatch unless otherwise specified.
- Late payments may result in order delays or additional charges.
4. Shipping & Delivery
- IRIS International arranges shipping via third-party logistics providers.
- Delivery timelines are estimated and subject to customs clearance and transportation conditions.
- Risk of loss or damage transfers to the Customer upon dispatch from our warehouse.
- Customers must inspect goods upon arrival and report any discrepancies within [7] business days.
5. Returns & Refunds
- Returns are only accepted for defective or damaged goods reported within [7] business days.
- The Customer must provide evidence of defects (photographs, videos, or official reports) for claim processing.
- Refunds or replacements will be provided at the discretion of IRIS International.
- Custom or personalized orders are non-refundable.
6. Product Warranty
- IRIS International ensures that all products meet standard quality requirements.
- Warranty periods and conditions vary by product type and will be specified in individual sales agreements.
- The warranty does not cover damage due to misuse, improper storage, or unauthorized modifications.
7. Intellectual Property
- All trademarks, logos, and product designs are the intellectual property of IRIS International.
- Customers may not reproduce, distribute, or modify branding elements without written permission.
8. Liability & Indemnification
- IRIS International is not liable for indirect, incidental, or consequential damages arising from the use of our products.
- The Customer agrees to indemnify and hold IRIS International harmless from any claims, liabilities, or losses resulting from the resale or use of our products.
9. Compliance & Legal Jurisdiction
- Customers must comply with all applicable import/export laws, sanctions, and trade regulations.
- Any disputes shall be resolved through arbitration in [Jurisdiction/City, Country] in accordance with local legal procedures.
10. Force Majeure
- IRIS International is not liable for failure to fulfill obligations due to unforeseen circumstances such as natural disasters, labor strikes, pandemics, or government restrictions.
